1. Acceptance of Terms

By creating an account or using the Kaname application ("Service") at kaname.email, you agree to be bound by these Terms of Use ("Terms"). If you do not agree, you must not access or use the Service. These Terms form a legally binding agreement between you and Kaname ("we", "us", or "our").

2. Description of Service

Kaname is an AI-powered email inbox and CRM platform designed for founders and sales teams. The Service allows you to:

• Connect email and IMAP/SMTP mailboxes to a unified inbox.
• Automatically capture and classify inbound leads from email conversations.
• Manage a CRM pipeline with statuses, urgency scoring, and contact profiles.
• Generate AI-powered follow-up reply suggestions based on email context.
• Track tasks, conversations, and deal progress in one workspace.
• Manage multiple mailboxes and product lines from a single account.

3. Eligibility

• You must be at least 16 years old to use the Service.
• You must have the legal authority to bind any company or organization on whose behalf you are using the Service.
• You must not be located in a country subject to sanctions that would prohibit use of the Service.

4. Account Registration and Security

• You must register using a valid Google account (via Firebase Authentication). You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account, whether or not you authorized it.
• Notify us immediately at [email protected] if you suspect unauthorized access to your account.
• You may not share your account with others or allow multiple individuals to use a single account.

5. Subscriptions, Trials, and Billing

• Free trial: All paid plans include a 14-day free trial. You will not be charged until the trial period ends. You may cancel before the trial ends without any charge.
• Paid plans: After the trial, access to premium features requires a paid subscription (monthly or yearly). Pricing is listed at kaname.email/pricing.
• Billing: Web subscriptions are billed directly through Dodo Payments. By subscribing, you authorize Dodo Payments to charge your payment method on a recurring basis.
• Cancellation: You may cancel your subscription at any time from the billing settings in the application. Cancellation takes effect at the end of the current billing period; you will retain access until then.
• Refunds: Subscription fees are non-refundable except where required by applicable law. If you believe you were charged in error, contact us at [email protected] within 7 days of the charge.
• Plan changes: Upgrading takes effect immediately; downgrading takes effect at the next billing cycle.
• Introductory pricing: Promotional discounts (e.g., first-month discounts) apply only to the specified promotional period and revert to standard pricing thereafter.

6. Email API and Mailbox Access

• When you connect an email account via Google (Gmail API), you grant Kaname OAuth 2.0 access to read, compose, send, and manage your email threads on your behalf. This access is used solely to operate the features of the Service.
• Kaname's use of Gmail data complies with the Google API Services User Data Policy, including the Limited Use requirements.
• You may revoke Gmail access at any time via your Google Account permissions page (myaccount.google.com/permissions) or by disconnecting the mailbox inside Kaname.
• When you connect an IMAP/SMTP mailbox, you represent that you are authorized to access that mailbox and that providing those credentials does not violate any third-party terms.
• You must not connect mailboxes that you do not own or are not authorized to access.

7. Acceptable Use

You agree to use the Service only for lawful, legitimate business email and CRM purposes. You must not:

• Use the Service to send spam, unsolicited bulk email, or any communication that violates applicable anti-spam laws (including CAN-SPAM, GDPR, and CASL).
• Use the Service to scrape, harvest, or collect email addresses or other data without consent.
• Automate sending of mass emails or use Kaname as a bulk email marketing platform.
• Use AI-generated reply suggestions for deceptive, misleading, or fraudulent communications.
• Attempt to reverse engineer, decompile, or extract source code from the Service.
• Use the Service to store or transmit malware, viruses, or other harmful code.
• Circumvent or attempt to circumvent any access controls, authentication mechanisms, or usage limits in the Service.
• Resell, sublicense, or offer the Service to third parties without prior written consent.
• Use the Service in any way that violates applicable laws or regulations, including data protection laws applicable to the email data you process.

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these acceptable use requirements.

8. AI-Generated Content

• Kaname uses AI models (including OpenAI GPT-4o) to generate lead classifications, urgency scores, conversation summaries, and reply suggestions. All AI-generated content is provided for informational purposes only.
• You are solely responsible for reviewing AI-generated suggestions before sending or acting on them. We do not guarantee the accuracy, completeness, or appropriateness of AI outputs.
• AI-generated reply suggestions do not constitute professional, legal, financial, or business advice.
• You must not represent AI-generated content as human-authored in contexts where such representation would be misleading or unlawful.

9. Intellectual Property

• Our IP: The Kaname application, including its design, code, AI models, branding, and all features, is owned by Kaname and protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.
• Your data: You retain full ownership of your email data, CRM records, and any content you create or input into the Service. By using the Service, you grant us a limited, non-exclusive license to process your data solely to operate and improve the Service.
• Feedback: If you provide feedback, suggestions, or feature requests, you grant us the right to use that feedback without restriction or compensation.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, available at kaname.email/privacy-policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

11. Third-Party Services

• The Service integrates with third-party platforms including Google (Gmail API), OpenAI, and Dodo Payments (web billing). Your use of those integrations is also subject to the respective third-party terms and privacy policies.
• We are not responsible for the availability, accuracy, or practices of any third-party services.

12. Service Availability and Modifications

• We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform scheduled or emergency maintenance that temporarily limits access.
• We reserve the right to modify, suspend, or discontinue any feature or the entire Service at any time, with reasonable notice where practicable.
• We may update these Terms from time to time. Material changes will be communicated via email or an in-app notice at least 7 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that:

• The Service will be error-free, secure, or uninterrupted.
• AI-generated outputs will be accurate, complete, or suitable for your needs.
• Emails processed through the Service will be delivered or received without errors.

14. Limitation of Liability

To the maximum extent permitted by applicable law:

• Kaname shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising out of or relating to your use of or inability to use the Service.
• Our total cumulative liability to you for any claims arising out of or relating to the Service shall not exceed the greater of (a) the amount you paid us in the 3 months preceding the claim, or (b) USD $50.
• These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

15. Indemnification

You agree to indemnify, defend, and hold harmless Kaname and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) your email data or CRM content.

16. Termination

• You may terminate your account at any time by contacting us at [email protected] or through the account settings in the application.
• We may suspend or terminate your access to the Service immediately if you violate these Terms, engage in fraudulent activity, or if continued access poses a risk to other users or the integrity of the Service.
• Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy.

17. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in India. You agree to first attempt to resolve any dispute informally by contacting us at [email protected] before initiating formal legal proceedings.
